1. Definitions

"Products" means the goods (and any software supplied with them) offered for sale under these Terms.
"Customer" means the person or entity purchasing Products from WeightechUSA.
"WeightechUSA" means Weightech USA LLC (Florida document no. L13000100574), its affiliates and authorized agents.
"Site" means weightechusa.com and any related ordering channel, including quotes, email, phone, and purchase orders.
"NC/NR" means Non-Cancelable/Non-Returnable.
"Non-Standard Products" means custom, special, or value-added Products not customarily stocked.
"Terms" means these Terms and Conditions of Sale.

2. Acceptance & Cancellation of Orders

These Terms apply to every sale of Products by WeightechUSA, however the order is placed. By placing an order, or by accepting delivery of Products, Customer agrees to these Terms. Any additional or different terms in Customer's purchase order, request for quote, or other documents are rejected and do not apply, unless WeightechUSA expressly agrees to them in a writing signed by an authorized officer. WeightechUSA's performance or silence is not acceptance of Customer's terms.

All orders are subject to WeightechUSA's acceptance. An automatic order-confirmation email confirms receipt only; an order is accepted when WeightechUSA ships the Products or sends a written acceptance. Orders may be cancelled or rescheduled only with WeightechUSA's written consent and may incur a cancellation or restocking fee of 15% of the order value or actual costs, whichever is greater. NC/NR and Non-Standard Products are not cancellable or returnable. WeightechUSA may refuse or cancel any order, limit quantities, or allocate sales at its discretion; if WeightechUSA cancels an order, its only obligation is to refund any amount paid for the cancelled Products. Product specifications and availability may change without notice.

2.1 Returns

Customers must request a Return Merchandise Authorization (RMA); WeightechUSA will issue an RMA decision within two (2) business days. Returns of non-defective Products must be requested within 30 days of shipment, require prepaid return freight, and are subject to a 15% restocking fee. Refunds exclude original shipping costs. Products returned without an RMA, or shipped COD, will be refused.

Products that are defective on arrival, or shipped in error by WeightechUSA, must be reported within 30 days of shipment. After WeightechUSA confirms the defect or error, no restocking fee applies, and WeightechUSA will repair, replace, or refund the Product under Section 7. Defects discovered later are handled only as warranty claims under Section 7.

2.2 Counterfeit Prevention

Only Products shipped by WeightechUSA or its authorized suppliers may be returned. By returning a Product, Customer certifies that it is the same Product WeightechUSA shipped and that no substitution has occurred. Returns of non-defective Products must be in original, unused condition, with original packaging.

2.3 Errors on the Site

WeightechUSA tries to describe and price Products accurately, but errors can occur. If a Product is listed at an incorrect price, or with incorrect information, because of a typographical, pricing, or system error, WeightechUSA may refuse or cancel any order for that Product, even after the order is confirmed or Customer is charged, and will refund any amount paid for the cancelled Product.

3. Prices

For orders placed and paid through the Site, the price shown at checkout applies. For all other orders, prices are those stated in WeightechUSA's quote, which is valid for 30 days unless otherwise specified, or, if there is no quote, those in effect at shipment. Prices exclude taxes, duties, shipping, brokerage, and related fees. WeightechUSA may adjust prices for unshipped orders due to cost changes beyond its control. For short shipments or order changes, non-discounted pricing applies if quantity thresholds are not met.

3.1 Tariffs & Trade Measures

Due to ongoing trade measures and global tariff adjustments, Products may be subject to additional duties, tariffs, or surcharges imposed by the U.S. government or foreign authorities. Customers are responsible for all such charges imposed prior to or upon import into the destination country. If new tariffs are enacted between order placement and shipment, Customer agrees to reimburse WeightechUSA for any resulting increase in costs.

4. Payment Terms

Payment is due in the currency on the invoice. Accepted methods: major credit cards, purchase cards, wire transfer/EFT, or net 30 days (with credit approval and references). WeightechUSA may change or withdraw credit terms, or require payment in advance, at any time. Wire orders await funds for up to 20 business days; unreceived funds result in cancellation. Overdue invoices bear interest at 18% per annum or the highest rate allowed by law, whichever is less, plus reasonable collection costs and attorneys' fees. Returned checks incur a $25 fee. If any payment is overdue, WeightechUSA may suspend shipments until the account is current. Customer may not set off or withhold payment for any claim against WeightechUSA.

5. Sales Tax

US Shipments: WeightechUSA collects applicable federal, state, and local taxes unless a valid exemption certificate is on file.
International Shipments: Customer is responsible for VAT, GST/HST, brokerage, and import duties.

6. Delivery & Title

Shipments are FOB origin. Title and risk of loss pass to Customer on delivery to the carrier. Customers are responsible for transit insurance and must note any damage on the carrier's bill of lading and notify WeightechUSA within five (5) business days of delivery. Delivery dates are estimates only; WeightechUSA is not liable for late delivery. Shipments may be made in installments, and a delay in one installment does not affect the others. Until WeightechUSA is paid in full, it keeps a purchase-money security interest in the Products, and Customer authorizes WeightechUSA to file any financing statement needed to perfect that interest.

7. Limited Warranty

7.1 WeightechUSA-branded Products. Unless a different warranty is stated in WeightechUSA's quote or the Product's documentation, WeightechUSA warrants that Products sold under the WeightechUSA brand will be free from defects in materials and workmanship under normal use for one (1) year from the invoice date.

7.2 Other brands. For Products of other manufacturers, WeightechUSA passes through to Customer, to the extent they are transferable, the warranty terms and conditions provided by that manufacturer. WeightechUSA gives no separate warranty for those Products.

7.3 Claims and remedies. Warranty claims must be submitted in writing, with an RMA request under Section 2.1, before the applicable warranty period ends. For Products of other manufacturers, the warranty period is set by that manufacturer's terms. WeightechUSA's only obligation, and Customer's exclusive remedy, for any Product that does not conform to its warranty is, at WeightechUSA's option, repair, replacement, or refund of the purchase price of that Product. Repaired or replacement Products are warranted only for the rest of the original warranty period. This warranty does not cover Products that have been misused, overloaded, improperly installed, altered, or repaired by anyone other than WeightechUSA or the manufacturer, or damage caused by lightning, power surges, water, corrosion, or normal wear.

EXCEPT AS STATED IN THIS SECTION 7, WEIGHTECHUSA MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, AND SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. No employee, agent, or distributor may make any other warranty on WeightechUSA's behalf.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEIGHTECHUSA SHALL NOT BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST PRODUCTION, DOWNTIME, PRODUCT RECALL, WEIGHING OR MEASUREMENT ERRORS, OR PROPERTY DAMAGE, WHETHER THE CLAIM IS IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF WEIGHTECHUSA WAS ADVISED THAT THESE DAMAGES WERE POSSIBLE. WEIGHTECHUSA'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR ANY PRODUCT SHALL NOT EXCEED THE PRICE CUSTOMER PAID FOR THE PRODUCT THAT GAVE RISE TO THE CLAIM. These limits apply even if a limited remedy fails of its essential purpose, and they are an essential part of the bargain between the parties.

9. Indemnification

Customer shall indemnify, defend, and hold WeightechUSA harmless from any third-party claims, losses, and expenses (including reasonable attorneys' fees) arising from: (a) Customer's products, systems, or applications that incorporate or use the Products; (b) the installation, calibration, maintenance, or use of the Products by or for Customer, including any use that does not follow the manufacturer's instructions or ratings; (c) specifications or designs provided by Customer; or (d) Customer's breach of these Terms or of any law.

10. Product Safety, Installation & Legal-for-Trade Use

Products are sold for commercial and industrial use. WeightechUSA does not perform safety testing; specifications originate from manufacturers. Customer is solely responsible for: selecting Products suitable for its application, capacity, and environment; installation, wiring, and calibration by qualified personnel; following the manufacturer's instructions, ratings, and safe overload limits; and providing any guarding, overload protection, or redundancy its application needs. Unless a Product is expressly rated by its manufacturer for that purpose, Products must not be used for overhead lifting, personnel support, or any application where failure could cause death, injury, or serious property damage.

Where a weighing system is used for commercial transactions ("legal for trade"), Customer is responsible for any required certification (for example NTEP), inspection, sealing, verification, and registration with weights-and-measures authorities. A component's certification does not by itself make a complete system legal for trade.

11. Statements, Advice & Product Information

Technical or other advice, including help selecting Products, is provided as a courtesy and without warranty, and WeightechUSA is not liable for Customer's use of it. No engineering or suitability studies are performed. Product descriptions, datasheets, drawings, manuals, and specifications on the Site come largely from manufacturers and are provided for general information; they may change without notice and do not create any warranty beyond Section 7. Customer should confirm critical specifications with the manufacturer's current documentation before use.

12. NC/NR Products

NC/NR Products are identified at the time of order and cannot be cancelled, returned, or rescheduled without the supplier's and WeightechUSA's written consent.

13. Intellectual Property

Software, firmware, and other intellectual property supplied with Products are licensed, not sold, under their accompanying license agreements. Unopened software may be returned; opened software may be returned only if defective. The sale of Products does not grant Customer any right in WeightechUSA's or a manufacturer's trademarks, designs, or other intellectual property.

14. Force Majeure

WeightechUSA is excused for delays or non-performance due to causes beyond its reasonable control, including natural disasters, severe weather, epidemics, labor disputes, supplier or carrier failures, material shortages, tariffs, or government actions. Performance is extended for the period of delay, or WeightechUSA may cancel affected orders without liability other than refunding amounts paid for undelivered Products.

15. Export Control

Customer must comply with all U.S. export control and sanctions laws. WeightechUSA will not ship to embargoed countries or denied parties. Re-export restrictions apply. Customer is responsible for all required export/import licenses.

16. Miscellaneous

16.1 Notices. All notices must be in writing and delivered by email or certified mail to the addresses on the invoice, or for WeightechUSA to 10384 W State Road 84 #6, Davie, FL 33324.
16.2 Assignment. Neither party may assign these Terms without the other's written consent, except to a successor in interest.
16.3 Entire Agreement & Amendment. These Terms, any WeightechUSA quote, the Credit Application, and any written amendments signed by both parties constitute the entire agreement and supersede all prior agreements. If these Terms conflict with a WeightechUSA quote, the quote controls only for price, quantity, and delivery date.
16.4 Severability. If any provision is unenforceable, it will be enforced to the maximum extent allowed, and the remaining provisions remain in full force and effect.
16.5 No Waiver. WeightechUSA's failure to enforce any provision is not a waiver of its right to enforce it later.
16.6 Survival. Sections 2.1, 4, 6, 7, 8, 9, 10, 11, 13, 15, 16, and 17 survive delivery, payment, and any termination of an order.
16.7 Consumers. Products are sold primarily for business use. If Customer is a consumer, nothing in these Terms limits any right that applicable consumer-protection law does not allow to be limited.
16.8 Language. These Terms may be provided in English and Spanish. If the versions conflict, the English version controls.

17. Governing Law, Venue & Disputes

These Terms are governed by the laws of the State of Florida and applicable U.S. federal law, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Any lawsuit arising out of or relating to these Terms or any Product must be brought exclusively in the state or federal courts located in Broward County, Florida, and each party consents to the jurisdiction of those courts. Any claim must be brought within one (1) year after it arises. The prevailing party in any such action may recover its reasonable attorneys' fees and costs. EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY SUCH ACTION.
